1. Acceptance of Terms

By accessing or using Zaya ("the Service"), you agree to be bound by these Terms of Service. The Service is operated by Ctrl Alt Compete Ltd. (Company No. 16454103), trading as Zaya ("we", "our", or "us"). If you do not agree to these terms, please do not use the Service.

2. Purpose of Participation

By joining the Zaya MVP Pilot, you understand that your participation is for testing purposes only. Any information you submit will be used solely to:

• Evaluate Zaya's features and functionality
• Generate a Zaya Profile for your use
• Improve the product through research and feedback

Your data will not be shared with external recruiters or third parties without your explicit permission.

3. Confidentiality & Non-Disclosure

You agree to treat everything you see and experience inside Zaya as strictly confidential. This includes:

• Platform UX/UI and design elements
• AI-generated outputs or profile examples
• Prompts, system features, and user flows
• Any non-public information about Zaya's technology or business

You may not take screenshots, record videos, or disclose, describe, or publish any details of the Zaya platform in public forums, social media, or private groups without our written consent.

4. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

5. Intellectual Property & Usage Restrictions

All intellectual property rights in the Service remain the sole property of Ctrl Alt Compete Ltd. You agree not to:

• Copy, modify, or create derivative works of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to develop a competing product
• Scrape, harvest, or extract data without permission
• Use the Service for any illegal or unauthorized purpose
• Violate any applicable laws or regulations

6. User Content

You retain ownership of content you submit to Zaya ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the right to submit all User Content
• Your User Content is accurate and not misleading
• Your User Content does not violate any third-party rights
• Your User Content complies with all applicable laws

7. AI-Generated Content Disclaimer

As part of the Service, we use large language models (LLMs) to generate content based on your input. AI-generated outputs may:

• Contain factual errors or "hallucinations" (made-up details)
• Misinterpret the tone, intent, or emphasis of your input
• Introduce phrasing or claims not present in your original content

You are solely responsible for reviewing, editing, and approving any generated content before sharing it with employers, recruiters, or others. Zaya does not accept liability for decisions or outcomes resulting from the use of AI-generated materials.

8. Feedback & Suggestions

Any feedback, ideas, or suggestions you provide during the pilot may be used by Zaya without further compensation or attribution. You hereby assign all rights in such feedback to Ctrl Alt Compete Ltd.

9. Consent to Communication

You consent to receive communications from Zaya, including:

• Transactional updates related to your usage
• Product announcements and feature rollouts
• Opportunities to provide feedback or participate in research

We will treat your contact data with care and will not share it outside the Zaya team without your consent.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAYA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

The Service is provided "as is" during this pilot phase, without warranties of any kind, either express or implied.

11. Indemnification

You agree to indemnify and hold harmless Ctrl Alt Compete Ltd. and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Right to Withdraw

You may withdraw from the pilot at any time. Upon request, we will delete your user account and all associated data from our systems in accordance with our Privacy Policy and GDPR requirements.

13. Termination

We reserve the right to terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

14. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after such notification constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ctrl Alt Compete Ltd. regarding the use of the Service.
